Terms of Service

Welcome to ShopsLinq ("the Service").
Please read these Terms of Service carefully before using the Service. By registering, logging in, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

This service is operated by Agrilinq, Inc., and uses Shopslinq as its product and brand name.

1Service Description

ShopsLinq is a commerce platform with a built-in AI agent. It provides store operations features, including a branded storefront, products, orders, inventory, payment and shipping integrations, loyalty and promotions, with different levels of AI assistance depending on your plan. The Service currently offers the following plans:

  • Starter: store operations features and a fixed-theme storefront that can use a custom domain; does not include AI features or MCP connections.
  • Growth: everything in Starter, plus a customisable storefront layout and AI-assisted features; any AI action visible to customers runs only after you approve it.
  • Autopilot: everything in Growth, plus AI store manager features, including a store playbook learned from your decisions, automatic actions within the operating standards you set, scheduled tasks, and connections to external AI services or agents through MCP.
  • Enterprise: everything in Autopilot, plus dedicated deployment, system integration and a service-level agreement as separately agreed.

The full features, pricing and limits of each plan are as published on the pricing page of the website or announced in the admin panel.

The Service may include production features, Beta features, or Early Access features. Available content depends on your selected plan.

2Account Registration and Use

  • Using the Service requires creating an account with accurate, current, and complete registration information
  • You are responsible for safeguarding your account credentials and for all activities under your account
  • You must notify us immediately if you discover any unauthorized use
  • The Service is for lawful business purposes only and may not be used for illegal or infringing activities

3Plans, Fees, and Payment

  • The Service offers different features and scope based on selected plans
  • Fees, payment cycles, and promotions are subject to announcements on the website or admin panel
  • Unless otherwise specified, all fees are exclusive of taxes
  • Upgrades (including switching from monthly to yearly billing) take effect immediately; you pay only the difference for the days remaining in the current billing period
  • Downgrades (including switching from yearly to monthly billing) take effect at the end of the current billing period; until then you keep all features of your current plan
  • If you cancel, the Service remains available until the end of the current billing period
  • Fees paid are non-refundable, except where required by law or where we are unable to provide the Service for reasons attributable to us
  • We reserve the right to adjust plan content and pricing with reasonable advance notice

Free trial

We may offer new merchants a free trial of the Service on the following terms:

  • Each merchant may use one 14-day free trial, which requires email verification; no payment method is needed during the trial
  • During the trial you may use the features of the Autopilot plan, with these limits:
    • Your storefront shows a “site in testing” notice and is not indexed by search engines
    • Payments run in test mode only and cannot collect real funds
    • Custom domains and marketing emails or text messages to customers are not available
    • AI features have a daily usage limit (as shown in the admin panel), and MCP and API connections are not available
  • Trial stores may not be used for actual sales or other commercial purposes
  • When you choose a paid plan, the products, settings and content created during the trial are kept and the store can go live immediately
  • If no paid plan is chosen when the trial ends, the admin panel is suspended; store data is kept for 30 days and then deleted, and we will notify you by email before deletion
  • If a trial is obtained more than once through multiple accounts, disposable email addresses or other means, we may cancel the trial and suspend the related accounts

4Beta and Early Access (Important)

Some features or plans may be in Beta or Early Access stage:

  • Features may be incomplete or still under development
  • System performance, capacity, or availability may be limited
  • We may suspend or adjust access based on system stability

You understand and agree that using Beta or Early Access features is at your own risk.

5AI Features and Disclaimer (Important)

  • AI recommendations, analysis, or automated actions provided by the Service are for operational assistance only
  • AI may operate based on historical data and configured parameters; results are not guaranteed to be accurate
  • You remain responsible for final operational decisions, product content, pricing, and marketing activities
  • The Service does not constitute legal, financial, or investment advice

6AI Usage and Fair Use

So that every store can rely on AI features, they are provided with no usage caps, subject to fair use.

6.1 Scope and no usage caps

AI features included in the Growth and Autopilot plans, including conversations with the AI agent, product copy and SEO content generation, discount design and margin simulation, operations briefs and, on Autopilot, store playbook learning, automatic actions and scheduled tasks, have no monthly usage caps, subject to this section. The Starter plan does not include AI features. AI usage on the Enterprise plan is as separately agreed.

6.2 Fair use

AI features are intended for the day-to-day operation of the store(s) you run. The following are not fair use:

  • Calling AI features in bulk or continuously through scripts, crawlers or other automated programs for purposes other than operating your store
  • Reselling, renting or providing AI features or their output to third parties or other stores
  • Using AI features for purposes unrelated to operating your store, such as mass-producing unrelated content or training other AI models
  • Sharing accounts, or creating multiple accounts or stores to get around this section
  • Usage clearly beyond the normal range of stores on the same plan that affects system stability or service quality for other users

6.3 Processing order

Large batch jobs on Growth (for example, generating many product descriptions at once) are processed in the standard queue; Autopilot and Enterprise receive priority processing. Actual processing time depends on system load and is not guaranteed.

6.4 External AI and agents

On Autopilot and Enterprise you may connect external AI services or agents (such as ChatGPT, Claude or agents you build) through MCP or the API. Their calls are subject to your plan’s API rate limits and to Section 5 and this section. You pay any fees for those external services directly to their providers.

6.5 Handling unusual usage

  1. If your usage may not be fair use, we will first contact you by email or in-app notice to explain the situation and discuss adjustments, such as changing how you use the features, upgrading your plan or agreeing separate terms.
  2. Until adjustments are agreed, we may temporarily lower the processing priority or speed of AI features on your account to protect system stability and other users.
  3. In cases of abuse listed in Section 6.2, such as resale or circumvention, a breach of these Terms or the law, or immediate harm to the system, we may suspend the relevant AI features without prior notice and will notify you afterwards.

6.6 Effect on other features

Measures under this section apply only to AI features and do not affect your storefront, orders, payments, shipping or other features, unless you also breach Section 7 (Usage Restrictions) or other provisions, which are handled under those provisions.

6.7 Changes to the standard

We may adjust how fair use is assessed as the Service evolves. Material changes that are unfavourable to you will be announced in advance under Section 11 (Modification of Terms).

7Usage Restrictions

You agree not to:

  • Reverse engineer, crack, or interfere with the Service's systems
  • Access other users' accounts or data without authorization
  • Use the Service to distribute malicious content, spam, or illegal information
  • Use the Service in any way that may harm ShopsLinq or third-party rights

8Intellectual Property

  • The Service and related content (including code, design, trademarks, documentation) belong to ShopsLinq or its licensors
  • You retain ownership of data you upload or input
  • You grant us license to use such data as reasonably necessary to provide the Service

9Service Interruption and Termination

We reserve the right to suspend or terminate all or part of the Service in the following circumstances:

  • System maintenance, upgrades, or force majeure events
  • User violation of these Terms
  • Legal or regulatory requirements

We will endeavor to provide advance notice when reasonably possible.

10Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without guarantee of uninterrupted or error-free operation
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability is limited to the service fees you actually paid during the relevant period

11Modification of Terms

We may revise these Terms due to service adjustments or regulatory changes.
Updated Terms will be posted on the website and take effect from the date of posting.
Your continued use of the Service after Terms updates constitutes acceptance of the revised Terms.

12Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan).
Both parties agree that the Taiwan Kaohsiung District Court shall have jurisdiction as the court of first instance for any disputes arising from these Terms.
